AFFILIATE PROGRAM TERMS OF SERVICE
You MUST read and understand these TOS to participate in the EFZU.com Affiliate Program
1. PURPOSE
This Affiliate Program Agreement (APA) is made by and between the owners of EFZU.com ("us," "we," "EFZU" "EFZU.com," "our"),
and you ("Affiliate", "you"), collectively referred to herein as the "Parties." The EFZU.com Affiliate Program is intended
to generate monetary rewards to the Affiliate based upon the Affiliate sending unique, first-time visitors to the
EFZU.com website.
Unique visitations will be tracked from 'clicks' on an affiliate's special affiliate code to the EFZU.com home page
and analyzed by software for validity. Validity will be based upon the visitor being new to the EFZU.com site, that is
their IP address, previous tracking cookies, ping test results, block IP grouping, machine data image and other tests
show their computer has
never accessed data on the EFZU.com servers in the past.
You do not have to be a member of the EFZU.com Digital Shopping Portal to register for the EFZU.com Affiliate Program.
The EFZU.com Affiliate Program is not available to anyone under the age of 16 years or to a national or resident of
Afganistan, China, Cuba, Indonesia, Iran, Iraq, Libya, Nigeria, North Korea, Syria, Thailand, Vietnam and Zimbabwe.
By registering for the EFZU.com Affiliate Program you are bound by this APA. Further, we may terminate or modify this
Agreement at any time and for any reason with or without notifying you directly.
2. ROLES AND RESPONSIBILITIES
In order to facilitate Affiliate's Member 'clicks', EFZU.com will provide Affiliate with promotional materials that
may include, but are not be limited to, hyperlinks to EFZU.com, text advertisements with hyperlinks to EFZU.com,
graphical ads with embedded hyperlinks to EFZU.com, and other materials to be determined at the sole discretion of
EFZU.com. EFZU.com will monetarily compensate Affiliate according to the terms set forth in Section 3 of
this Agreement. EFZU.com are under no circumstances, responsible for the practices of any Affiliate, Advertiser or
Publisher or such Affiliate, Advertiser or Publisher's Web site(s) and/or the content an Affiliate, Advertiser or
Publisher makes available through email or the internet, and is free of all liability whatsoever related to said
practices, web sites, or content.
3. PAYMENTS & DISBURESMENTS
EFZU.com will pay affiliate a fee of THREE (3) UNITED STATES CENTS for each valid, unique website visitor the affiliate
sends to the EFZU.com home page. In the event that the affiliate elects to terminate their affiliate account
no payments shall be due or paid to Affiliate. Disbursements: EFZU.com will pay affiliate once a minimum payment amount
of $US30.00 has been reached and the affiliate has requested their payment. EFZU.com will issue requested Affiliate payments in
the form of a payment to the affiliate's PAYPAL payment processor account on or before the fifteenth (15th) day of
each calendar month in which affiliate requested their payment the previous calendar month.
Payment or non-payment of any payments remains at the sole discretion of the EFZU.com owners and management.
4. AFFILIATE CONDUCT
Affiliate must comply with all relevant law during the term of the APA and not partake in any activity that harms or
attempts to harm EFZU.com, the EFZU.com Affiliate Program, EFZU.com Clients and Staff or other Affiliates.
Affiliate may not mislead others, or
engage in spamming, indiscriminate advertising or unsolicited commercial email or cybersquatting. Affiliate may not
operate a website or link to any website that contains or promotes any offensive, defamatory, obscene, abusive, violent,
libelous, bigoted, hate-oriented, cracking, hacking or warez, illegal or unlawful content or activity, or that offers
any illegal good or service. Without limiting any terms of this Agreement, EFZU.com reserves the right to terminate
Affiliate's account if Affiliate breaches any of the above. TERMINATION OF ACCOUNT WILL SEE FORFEITURE OF ALL FUNDS
WITHOUT COMPENSATION.
5. 'CLICK FRAUD'
Affiliate must not be knowingly or deliberately undertake any practices that could be defined as 'Click Fraud'.
These practices include, but are not limited to: using or attempting to use multiple IP addresses or computer terminals
to gain extra pay-per-click credit, blocking or attempting to block visitor's tracking cookies, incentivizing clicks
(paying people to click affiliate links), misleading people to click affiliate links and other fraudulent practices at the sole
discretion of EFZU.com owners and management.
EFZU.com has sophisticated affiliate tracking software and management is notified by the software anytime suspicious visitor
behaviour is encountered. Breaches of this Section 5 will result in a
written cease and desist warning and withdrawal of credited funds for the breached activity. At the sole discretion of
EFZU.com, a second written warning and loss of funds may or may not be instigated for subsequent offences.
SERIOUS BREACHES
TO THIS SECTION 5 WILL SEE IMMEDIATE TERMINATION OF AFFILIATE ACCOUNT, FORFEITURE OF ALL FUNDS
WITHOUT COMPENSATION AND REPORTING TO LOCAL AND INTERNATIONAL LAW ENFORCEMENT OFFICIALS. CYBERCRIME AND FRAUD IS A SERIOUS
OFFENCE IN MOST COUNTRIES.
6. EFZU.COM'S PROPRIETARY RIGHTS, TRADEMARKS, AND COPYRIGHTS
You acknowledge and agree that the EFZU.com Affiliate Program and any necessary software used in connection with the
he EFZU.com Affiliate Program and visitor tracking
("Software") contain proprietary and confidential information that is protected by applicable intellectual property and
other laws. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the
Service or the Software, in whole or in part. The trademarks, logos, and service marks displayed on the Site and
used in connection with the Services are the registered and unregistered trademarks and service marks of EFZU.com.
7. INDEMNITY
You agree to indemnify, defend and hold the EFZU.com owners, affiliates, advertisers and sponsors, partners, employees,
pets, children, consultants, agents and other representatives, harmless from and against any and all claims, damages, losses, costs
(including attorneys' fees) and other expenses that arise directly or indirectly out of or from your breach of the APA,
including any violation of AFFILIATE CONDUCT (Section 4), 'CLICK FRAUD' (Section 5) or your activities in connection
with the APA.
8. DISCLAIMER OF WARRANTIES
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
YOUR USE OF THE APA IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. EFZU.COM AND
ITS AFFILIATES, ADVERTISERS, SPONSORS AND AGENTS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR
IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
NON-INFRINGEMENT, AND ACCURACY. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM EFZU.COM OR
THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE APA.
9. LIMITATION OF LIABILITY
YOU EXPRESSLY UNDERSTAND AND AGREE THAT NEITHER EFZU.COM NOR ANY OF OUR OWNERS, AFFILIATES, ADVERTISERS OR SPONSORS,
NOR OUR PARTNERS, EMPLOYEES, CONSULTANTS, AGENTS OR OTHER REPRESENTATIVES, SHALL BE RESPONSIBLE OR LIABLE TO YOU FOR
ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES
FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF EFZU.COM HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE PROGRAM (II) STATEMENTS OR
CONDUCT OF ANY THIRD PARTY ON THE PROGRAM; OR (III) ANY OTHER MATTER RELATING TO THE PROGRAM.
